These Terms of Service ("Terms") govern your use of the Upriff managed social media marketing service ("Service") operated by Profit Now Solutions, LLC, doing business as Muldrow Marketing ("we," "us," or "our"). By subscribing to or using the Service, you ("Client," "you") agree to be bound by these Terms.
Upriff is a managed social media marketing service. Depending on your selected plan, the Service includes:
The specific number of posts, platforms, and features included depends on your selected plan (Rhythm or Momentum) and any add-ons (Amplifier). Plan details are described on our website at upriff.io.
Recurring Billing: The Service is billed on a monthly recurring basis. By subscribing, you authorize us to charge your payment method on file each billing cycle at the rate corresponding to your selected plan and commitment term.
Pricing Tiers: Each plan is available at two rate levels. Month-to-month subscriptions are billed at a higher monthly rate. Clients who commit to a 6-month term receive a discounted monthly rate. Current rates are listed on our website at upriff.io.
Plan Changes: You may upgrade or downgrade your plan at any time. Changes take effect at the start of your next billing cycle.
Amplifier Add-On: The Amplifier add-on is a separate recurring subscription that can be added or removed independently of your base plan.
Month-to-Month: If you subscribe on a month-to-month basis, you may cancel at any time. Cancellation takes effect at the end of your current billing period. No refunds are issued for partial months.
6-Month Commitment: If you subscribe with a 6-month commitment, your subscription remains active for a minimum of 6 billing cycles at the discounted rate. Early cancellation during the commitment period may result in the remaining balance being adjusted to the month-to-month rate for months of service already received. After the 6-month commitment period, your subscription continues at the same discounted rate on a month-to-month basis.
No Long-Term Contracts: There are no contracts beyond the optional 6-month commitment. After any commitment period ends, you may cancel at any time with no additional fees.
Your Content: You retain full ownership of all content created by Upriff on your behalf once it has been delivered or published. This includes social media posts, captions, and any associated graphics or visual assets.
Brand Materials: Any brand information, logos, images, or other materials you provide to us remain your property. You grant us a limited, non-exclusive license to use these materials solely for the purpose of providing the Service.
Portfolio Use: We may use anonymized performance data and, with your prior consent, published content samples for portfolio or marketing purposes. You may revoke this consent at any time.

Upriff reserves the right to decline or discontinue service to businesses in industries that conflict with social media platform advertising policies, regulatory requirements, or our content guidelines.
For regulated industries (including but not limited to healthcare, financial services, legal services, and dietary supplements), the Client is solely responsible for ensuring that all published content complies with applicable laws, regulations, and industry-specific advertising rules. We will work conservatively within these constraints, but final compliance responsibility rests with you.
The Service is provided "as is." While we strive for high-quality content and consistent publishing, we do not guarantee specific marketing outcomes, follower growth, engagement rates, or revenue results.
To the maximum extent permitted by law, Profit Now Solutions, LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total aggregate liability shall not exceed the amount you paid for the Service in the three (3) months preceding the event giving rise to the claim.
The Service relies on third-party social media platforms (Instagram, Facebook, LinkedIn, Google Business Profile, X/Twitter, and others). We are not responsible for changes to platform policies, API availability, outages, or actions taken by these platforms against your accounts. If a platform change materially impacts our ability to deliver the Service, we will work with you to find alternatives.
Your privacy is important to us. Please review our Privacy Policy for information about how we collect, use, and protect your data.
We may update these Terms from time to time. If we make material changes, we will notify you via email or through the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
These Terms are governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict of law provisions.
